1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and Donkey Venture LLC, a limited liability company organized and existing under the laws of the State of Delaware, United States ("Company," "we," "us," "our"), governing your access to and use of the Qlub website located at qlubapp.com (the "Website"), the Qlub mobile application available on the Apple App Store and Google Play Store (the "Mobile App"), and all related services, features, content, and functionality (collectively, the "Services").

By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Services. Your continued use of the Services constitutes ongoing acceptance of these Terms and any modifications thereto.

2. Description of Services

Qlub is a community platform designed to connect the LGBTQ+ community by providing access to events, hangouts, spots (venues), groups, listings (businesses and services), and festivals. The Services are offered through two primary channels with different levels of functionality:

2.1 Website (Limited Functionality)

The Website at qlubapp.com provides a public-facing, read-only browsing experience with the following features:

• Browsing publicly listed events, hangouts, spots, groups, listings, and festivals.
• Viewing event details, venue information, ratings, reviews, and community flags.
• Location-based content discovery using IP-based geolocation.
• Filtering and searching content by category, type, and location.
• Accessing public event invitation links and guest RSVP functionality.
• Viewing festival schedules and event lineups.

The Website is designed as a discovery tool and does not provide the full range of features available on the Mobile App. Private content, social features, and interactive functionality require the Mobile App.

2.2 Mobile App (Full Features)

The Qlub Mobile App, available for download on the Apple App Store (iOS) and Google Play Store (Android), provides the complete Qlub experience, including all Website features plus:

• Account Creation and Profile Management: Create a personal profile with customizable display name, bio, and preferences.
• Social Networking: Follow other users, view followers-only content, and build your community network.
• Hangout Creation and RSVP: Create your own hangouts, set activity types, skill levels, and manage guest lists.
• Event Creation and Management: Organize events with full details including pricing, dress codes, vibes, and social media links.
• Group Participation: Join groups, participate in group discussions, and connect with group members.
• Direct Messaging: Send private messages to other community members.
• Reviews and Ratings: Submit reviews and ratings for spots and listings.
• Content Creation: Post content, share experiences, and contribute to the community.
• Push Notifications: Receive real-time alerts about events, messages, and community activity.
• Precise Location Services: Enhanced location-based features using device GPS for more accurate nearby content.
• Private and Followers-Only Content: Access content with restricted visibility settings.

Note: We strongly recommend downloading the Qlub Mobile App from the Apple App Store or Google Play Store to access the full range of features and the best possible experience. The Website serves as a complementary discovery tool with intentionally limited functionality.

3. Eligibility

You must be at least 18 years of age to access or use the Services. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. User Accounts

Certain features of the Services (primarily through the Mobile App) require you to create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Maintain the security of your password and account credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable.

5. User Conduct and Content

You agree not to use the Services to:

• Violate any applicable local, state, national, or international law or regulation.
• Post, upload, or transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
• Engage in discrimination, hate speech, or harassment of any kind based on race, ethnicity, gender, sexual orientation, gender identity, religion, disability, or any other protected characteristic.
• Transmit spam, chain letters, or other unsolicited communications.
• Interfere with, disrupt, or create an undue burden on the Services or the networks connected to the Services.
• Attempt to gain unauthorized access to any portion of the Services, other accounts, or any systems or networks connected to the Services.
• Use automated means (bots, scrapers, crawlers) to access the Services without our express written permission.
• Collect or harvest personal information of other users.
• Use the Services for any commercial purpose without our prior written consent.

5.1 User-Generated Content

You retain ownership of content you create through the Services. However, by posting content, you grant Donkey Venture LLC a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display such content in connection with the Services and our business operations, including for promotional and marketing purposes.

We do not guarantee the accuracy, completeness, or usefulness of any user-generated content and are not responsible for any content posted by users. We reserve the right to remove any content at our sole discretion without notice.

6. Intellectual Property

The Services, including all content, features, functionality, software, text, images, graphics, logos, and trademarks (the "Qlub Materials"), are owned by Donkey Venture LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. This license does not include the right to: (a) modify, copy, or create derivative works based on the Services; (b) reverse engineer or attempt to extract the source code of the Services; (c) sell, sublicense, or otherwise transfer rights to the Services; or (d) use the Services for any commercial purpose without prior written consent.

7. Third-Party Content and Services

The Services may display content from third parties, including event listings, venue information, reviews, and business listings. We do not control, endorse, or assume responsibility for any third-party content. Your interactions with third parties found on or through the Services are solely between you and the third party.

The Services may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of these third-party sites. You access third-party sites at your own risk.

You agree to defend, indemnify, and hold harmless Donkey Venture LLC, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, property, or privacy right; (d) any content you post or share through the Services; or (e) any claim that your content caused damage to a third party.

11. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding individual arbitration conducted by a single arbitrator under the rules of the American Arbitration Association (AAA). The arbitration shall take place in the State of Delaware, United States, or at a location mutually agreed upon by the parties.

You and Donkey Venture LLC agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive your right to participate in a class action lawsuit or class-wide arbitration.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

13. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

14. Modifications to the Services and Terms

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

We reserve the right to update or modify these Terms at any time. Changes become effective immediately upon posting to the Website. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.

15. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitation of liability.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy and any other legal notices or policies published by us on the Services, constitute the entire agreement between you and Donkey Venture LLC regarding the Services and supersede all prior agreements, representations, and understandings.

18. Force Majeure

Donkey Venture LLC shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or labor disputes.

19. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
